Inc These Terms and Conditions (“Terms”) govern your use of all services, technology, data, materials, and intellectual property associated with Neo Quantum Era, Inc. (“NQE,” “we,” or “our”). By accessing or using our website, platform, or products, you agree to be legally bound by these Terms and to comply with all applicable laws and regulations.

1. Confidentiality and Disclosure

1.1 Non-Disclosure & Confidential Disclosure Agreements (NDA/CDA)

All parties accessing proprietary or sensitive information of Neo Quantum Era must enter into a Non-Disclosure Agreement (NDA) or Confidential Disclosure Agreement (CDA). These agreements protect confidential information including but not limited to research data, prototypes, algorithms, methods, and business strategies.

1.2 Material Transfer Agreement (MTA)

Any transfer of physical research materials (e.g., biological samples, engineered components) between Neo Quantum Era and external entities must be governed by a Material Transfer Agreement, outlining use, retention, and ownership rights. 1.3 Data Use Agreement (DUA) Shared data, including sensitive or regulated information, will be protected under a Data Use Agreement specifying permissible use, data security, storage, and handling procedures in line with applicable laws.

2. Regulatory Compliance

2.1 Institutional Review Board (IRB)

Any research involving human subjects or human-derived data must be reviewed and approved by an Institutional Review Board (IRB). All collaborators agree to maintain ethical research standards and protect subject confidentiality.

2.2 HIPAA Compliance

Neo Quantum Era operates in compliance with the Health Insurance Portability and Accountability Act (HIPAA) when handling protected health information (PHI) in biomedical and biotechnological applications.

2.3 ITAR Compliance

Neo Quantum Era complies with the International Traffic in Arms Regulations (ITAR) and may restrict access to certain technologies based on export control laws. All parties must confirm their eligibility for access under U.S. federal law.

3. Intellectual Property Protection

All proprietary materials, inventions, trademarks, trade secrets, systems, and intellectual property (IP) developed by or shared with Neo Quantum Era remain the sole property of the company or its licensors. Unauthorized reproduction, distribution, or reverse engineering is prohibited.

4. Standard Operating Procedures (SOPs)

Parties granted access to Neo Quantum Era’s labs, systems, or research environments must adhere to our established Standard Operating Procedures (SOPs), which govern data integrity, device testing, material handling, and secure operations.

5. Limitation of Liability

Neo Quantum Era shall not be held liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services, products, or intellectual property, even if advised of the possibility of such damages.

6. Termination of Access

Neo Quantum Era reserves the right to terminate or suspend access to any individual or entity that violates these Terms, fails to comply with signed agreements (NDA, MTA, DUA, etc.), or acts against the interests of the company.

7. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Florida, United States, without regard to conflict-of-law principles. Jurisdiction for any dispute shall lie exclusively within the courts located in Florida.
